Terms of service

PREAMBLE

The website (https://www.dekercoet.com/) (the “Website”) is operated by DE KERCOET, Inc., a corporation incorporated under the laws of the State of Delaware, with its principal offices at 1441 Brickell Avenue, Suite 1510, Miami, Florida 33131.

These Terms and Conditions of Sale (the “Terms”) apply to all individuals purchasing products through the Website, or via other direct channels. For assistance, you may contact DE KERCOET at sales@dekercoet.com or by phone at +1.305.890.8927.

CONTRACTUAL FRAMEWORK

By placing an order, the customer acknowledges that they have read, understood, and agreed to be bound by these Terms. Prior to placing any order, customers are provided conspicuous links to these Terms and the Privacy Policy via email or through the website. Acceptance occurs when the customer clicks “I accept” when reviewing these Terms as a clickwrap agreement, or, for an order confirmed by email, when the customer confirms in writing that they accept these Terms. Where a project is discussed by telephone or video conference, no order is formed on that call: DE KERCOET will send the order details together with these Terms and the Privacy Policy, and the customer’s written confirmation is required before the order is accepted. Customers are encouraged to save or print a copy of these Terms for their records.

A copy of the Terms in effect at the time of purchase is included with the order confirmation email as a PDF attachment. DE KERCOET reserves the right to update or modify these Terms at any time. Any such changes will apply prospectively and will not affect orders placed before the revised Terms take effect. The version applicable to a given order is the version in force at the time the order is submitted. The most recent update date is listed at the bottom of this page.

CONTRACT FORMATION

A binding contract is created when the customer completes the checkout process and clicks the “Confirm and Pay” button or confirms payment through any other direct channel, such as phone or email. Before finalizing the order, the customer has the opportunity to review and make any necessary changes to their order. For orders placed by phone or email, including those for custom or made-to-order furniture, the contract is formed once the customer approves the final order details in writing and provides payment authorization. DE KERCOET maintains records of all orders. Customers may request a copy of their order history by contacting sales@dekercoet.com.

CUSTOM-MADE FURNITURE

For certain products, customers may place custom or made-to-order furniture requests with DE KERCOET. The customer must provide all requested dimensions and specifications, after which DE KERCOET will issue a manufacturing form that summarizes the proposed details for the customer’s review and written approval. Customers are solely responsible for the accuracy of all submitted measurements and specifications. DE KERCOET is not responsible for errors in the approved specifications, including dimensions or design elements provided by the customer. For the purposes of these Terms, “custom”, “made-to-order” and “bespoke” items include any catalogue item that is modified at the customer’s request — including a non standard colour, wood species, finish or top material, non-standard dimensions, or any other modification that is not offered as a standard selectable option on the Website — and any such item is treated as a custom item for the purposes of the Right of Withdrawal and the Accepted at Delivery policy set out below.

This responsibility also applies to custom furniture that incorporates third-party or customer- supplied components. It is the customer’s obligation to ensure proper fit and compatibility by providing exact and complete measurements and installation requirements. The customer warrants that they hold, or have permission from the rights holder to use, any image, drawing, photograph or other reference material they submit to DE KERCOET, and grants DE KERCOET the right to use that material for the purpose of advising on, quoting and producing the order. Once a custom order is confirmed, it cannot be modified, even for minor changes, unless DE KERCOET agrees in writing and only if the change is technically feasible based on the current stage of production.

PRODUCT COMPLIANCE

DE KERCOET warrants that its products will materially conform to the descriptions and specifications provided at the time of sale, subject to the limitations described in these Terms. All products are presented visually through photographs and illustrations, which are intended for general reference only. While we strive for accuracy, variations in color, texture, and tone may occur due to differences in lighting, screen settings, paper print color variation and natural materials.

Exact color representation on screen or in printed material cannot be guaranteed. To assist in the selection process, color and material samples are available for purchase. Customers are encouraged to request samples prior to placing an order if color or finish is a critical factor in their decision. Orders for stock items will not be cancelled or returned solely on the basis of perceived color discrepancies, finish variation, or tone differences, provided that the product materially conforms to its written description. Nothing in this paragraph limits any mandatory rights available to consumers under applicable state law, including California consumers’ rights under the Consumer Legal Remedies Act.

CALIFORNIA PROPOSITION 65 WARNING

WARNING: Some furniture products may expose you to chemicals, including formaldehyde (found in certain engineered wood products) and lead compounds (found in some surface finishes), which are known to the State of California to cause cancer or reproductive harm. For more information, visit www.P65Warnings.ca.gov. Where applicable, product-specific Proposition 65 warnings will be displayed on each product listing page. This warning is provided pursuant to California Health & Safety Code Section 25249.6 (Proposition 65) and applies to California residents only.

PRODUCT SAFETY AND REGULATORY COMPLIANCE

All furniture products sold by DE KERCOET to U.S. customers are designed to comply with applicable U.S. federal product safety regulations, including standards issued by the Consumer Product Safety Commission (CPSC). Upholstered furniture sold in the United States is designed to comply with California Technical Bulletin 117-2013 (TB 117), the de facto national flammability standard for upholstered furniture. If you believe a DE KERCOET product presents a safety hazard, please contact us at sales@dekercoet.com immediately and, where appropriate, report the issue to the CPSC at www.SaferProducts.gov. Maximum safe loads for shelves, drawers and table tops are stated in the documentation supplied with each product and must not be exceeded. Where a freestanding item is supplied with an anti-tip restraint, the item must be secured in accordance with the instructions supplied before it is put into use; DE KERCOET is not liable for damage or injury resulting from a restraint that has not been fitted.

PRICES AND PAYMENT TERMS

All prices displayed to U.S. customers on the website are in U.S. dollars. Applicable state and local sales taxes will be added at checkout based on the shipping destination. DE KERCOET reserves the right to adjust prices at any time without prior notice, including in response to changes in material costs or market conditions. The total price confirmed at checkout is the binding purchase price. In the event of a pricing error, DE KERCOET reserves the right to cancel the order and notify the customer promptly. Advertised prices, including any sale or promotional pricing, accurately reflect genuine prior pricing in compliance with FTC guidelines and applicable state pricing laws, including California Business & Professions Code Section 17501.

The total price charged is the amount shown at checkout and confirmed in the order summary. Orders will be processed and shipped only after full payment has been received and verified. A digital invoice will be sent to the email address provided once the order has shipped. Customers with an online account may also access their invoice through their account dashboard. Billing information cannot be changed after the order has shipped.

ACCEPTED PAYMENT METHODS

DE KERCOET accepts major credit cards for online purchases. Payment is processed securely through a third-party provider and the order is not confirmed until payment has been successfully authorized.

Customers may also request to pay by wire transfer. Where payment is made by wire transfer, no materials are ordered and no production is scheduled until the transfer has been credited to DE KERCOET’s bank account. For items held in stock, the item will be reserved for up to 96 business hours from the time payment instructions are issued; if the funds are not credited within that window the reservation lapses and the order may be canceled. Items that are made to order are not reserved, and the stated lead time begins only when the funds are credited. Once funds are credited and cleared, order processing, including production scheduling, will begin.

DE KERCOET reserves the right to refuse or cancel orders from customers with a history of payment disputes or chargebacks. To help prevent fraud and comply with applicable legal requirements, DE KERCOET may request additional identification or documentation before processing or shipping an order. If the customer fails to provide the requested information, the order may be canceled.

CHARGEBACK AND PAYMENT DISPUTE POLICY

Customers with a concern about a charge must contact DE KERCOET at sales@dekercoet.com before initiating a chargeback or payment dispute with their card issuer. DE KERCOET will use commercially reasonable efforts to resolve any legitimate billing dispute By completing a purchase, the customer confirms that: (i) they are the authorized holder of the payment method used; (ii) they have reviewed and agreed to DE KERCOET's return and refund policy prior to purchase; and (iii) they will use the RMA process described in these Terms before filing any chargeback. This confirmation supports DE KERCOET's representment process with card networks. Nothing in this paragraph limits a consumer's statutory chargeback rights under the Fair Credit Billing Act (15 U.S.C. Section 1666).

AVAILABILITY AND DELIVERY

Product availability may vary based on the item and delivery location. For furniture deliveries, customers will be given the opportunity to schedule a delivery appointment once the item has been transferred to the carrier. It is the customer’s responsibility to ensure someone is available to receive the delivery at the agreed-upon time and to confirm that the delivery location is accessible, including any building access requirements. Availability and lead times shown on the Website reflect conditions at the time they are displayed and vary with stock levels and workshop capacity at the time the order is placed. An item shown as available within a given lead time at one point in the year may carry a materially longer lead time at another, and the lead time applicable to an order is the one confirmed in the order confirmation.

Failure to receive the product at the scheduled time does not entitle the customer to a cancellation, refund, or rescheduling without additional fees. Once an order has shipped, changes to the delivery address are not permitted. DE KERCOET reserves the right to cancel an order in the event of unexpected production or technical issues that prevent fulfillment. If this occurs, the customer will receive a full refund. However, DE KERCOET will not be responsible for any additional compensation or ANY indirect, incidental, consequential, or special damages related to the cancellation.

SHIPPING TERMS

DE KERCOET is committed to shipping all products as described, using appropriate packaging and materials based on the size, weight, and nature of each item to ensure safe transit.

The method of delivery is determined by the dimensions, weight, value of the item, and the destination address. Smaller items and select furniture pieces are typically shipped via courier services, while larger or heavier pieces are shipped using freight carriers. Estimated delivery timelines may vary depending on the customer’s location within the United States. Lead times shown on the Website are estimates of when an item is expected to be ready for dispatch. They are not guaranteed dates and they do not include transit time, which varies with the destination and the carrier. Where DE KERCOET becomes aware that an order cannot be dispatched within the time stated at the point of sale, or within thirty (30) days where no time was stated, DE KERCOET will notify the customer of the revised date and offer the customer the choice of accepting the revised date or cancelling the order for a full refund.

DELIVERY SCHEDULING

Customers will receive an email notification once their order has shipped, along with instructions for selecting a delivery appointment where applicable..

If no one is available to receive the delivery at the scheduled time, the item may be returned to DE KERCOET’s logistics hub or the carrier’s local facility. In such cases, a second delivery attempt may be subject to additional fees, which must be paid before redelivery is scheduled.

ISLAND AND INTERNATIONAL DELIVERIES

For deliveries outside the continental United States or to remote locations, including U.S. territories or international destinations, customers should contact DE KERCOET directly to confirm whether delivery is available. If shipping is feasible, additional fees, extended delivery timelines, and customs duties may apply.

DELIVERY CONDITIONS

For items weighing more than 20 kilograms (approximately 44 pounds), delivery is available to the ground floor if no elevator is accessible. For deliveries beyond the ground floor without elevator access, additional charges may apply and must be arranged and paid for in advance.

It is the customer’s responsibility to confirm that the delivery location, including any elevators, stairwells, entryways, or building policies, can accommodate the size and weight of the purchased item. Any special delivery conditions or access limitations must be disclosed during the order confirmation process. Any additional costs incurred due to building access issues, missed delivery appointments, or undisclosed delivery constraints will be billed to the customer, a will be due upon receipt and payable prior to redelivery.

INSPECTION UPON DELIVERY

The customer is responsible for inspecting the product at the time of delivery and must sign the delivery receipt to acknowledge acceptance. If there is visible damage to the item itself, the customer must refuse delivery and clearly note the nature of the damage on the delivery receipt.

Nothing in this paragraph waives any consumer rights that cannot be waived under applicable law. Once the item has been returned and the damage has been verified, DE KERCOET will offer the customer, at the customer's election: (a) a replacement of the same or comparable item; (b) a store credit equal to the purchase price; or (c) a full refund to the original payment method. Where the customer has expressed a preference, DE KERCOET will honor that preference to the extent permitted by applicable law.

RETENTION OF TITLE

Ownership of the products remains with DE KERCOET until full payment has been received and the customer has signed to confirm delivery. Risk of loss or damage transfers to the customer upon delivery to the designated address.

RIGHT OF WITHDRAWAL

For stock (non-custom) items, customers may cancel their order and request a return within 30 days of receiving the item. Returns are subject to the following conditions: (i) the customer must first obtain a valid Return Merchandise Authorization (RMA) number from DE KERCOET before returning any item — returns received without an RMA number will be refused and returned to the sender at the customer's expense; (ii) items must be unused, in their original packaging, and in resalable condition; (iii) the customer is responsible for all return shipping costs, which for large furniture items may exceed $250 depending on size, weight, location, and carrier; and (iv) DE KERCOET may withhold the refund until the returned item has been received and inspected. Custom-made, made-to-order, and personalized furniture is subject to the separate policy set out below. California consumers retain all non-waivable rights under California Civil Code and the Song-Beverly Consumer Warranty Act.

To initiate a return, the customer must first request an RMA number by emailing sales@dekercoet.com with their order number, a description of the item(s), the reason for return, and photographs of the item in its current condition. DE KERCOET will generally issue an RMA number within five (5) business days. The RMA number must be clearly marked on the outer packaging; returns sent without a valid RMA number will be refused at the customer's expense. Returned items must be unused, in their original packaging, and in resalable condition. All return shipping costs are the sole responsibility of the customer. An estimated return shipping charge for large furniture items may exceed $250 depending on size, weight, and carrier. DE KERCOET is not responsible for items lost or damaged during return transit; customers are strongly encouraged to insure high-value return shipments.

Upon receipt and satisfactory inspection of the returned item, refunds will generally be issued to the original form of payment within ten (10) business days. Refunds will cover the original product price only. Original outbound shipping charges are non-refundable. Additional charges for upgraded delivery services (such as expedited shipping, inside delivery, or white-glove service) are non-refundable in all circumstances. Return shipping costs are the customer's responsibility and will not be reimbursed. Where an item is returned in a condition other than unused and in original packaging, DE KERCOET reserves the right to apply a restocking fee of up to 20% of the original purchase price, or to refuse the return entirely.

For stock items, returns requested because the item cannot be delivered or installed due to access limitations at the delivery location (including doorway, stairwell, elevator, or room clearance) remain the customer’s responsibility for all return shipping costs and any redelivery fees. Items must be returned unused and in original packaging. If an item cannot be returned in original condition because packaging was removed or the item was handled in an attempted delivery, a restocking fee of up to 20% may apply, or the return may be refused.

CUSTOM AND BESPOKE FURNITURE — ACCEPTED AT DELIVERY POLICY: Custom-made, made-to-order, and personalized furniture items (as defined in the Custom-Made Furniture section above) are accepted by the customer upon delivery. By signing the delivery receipt (or by accepting delivery without written objection), the customer acknowledges that the item has been received and is accepted. Custom items are not eligible for return, exchange, or refund after delivery, except in the following limited circumstances: (i) the item is found to be materially defective in workmanship or materials; (ii) the item does not materially conform to the written specifications expressly approved by the customer prior to production; or (iii) the item was damaged in transit, notified in accordance with the Inspection Upon Delivery section of these Terms. Any claim under (i) or (ii) for visible defects or non-conformity must be submitted in writing to sales@dekercoet.com with supporting photographs and documentation within five (5) business days of delivery. Claims submitted after this period will not be accepted except as required by applicable law. Where a valid defect or non-conformity is established, the remedy will be repair, replacement, or refund at the customer's election, as set out in the Legal Warranties section of these Terms. The customer is not responsible for return shipping costs on confirmed defective custom items.

ORDER CANCELLATION AFTER DISPATCH

Orders cannot be canceled once they have been handed over to the shipping carrier. If the item is eligible under the Returns and Cancellation Policy, customers may initiate a return after delivery by following the standard return request process. Legal Warranties

RETURN MERCHANDISE AUTHORIZATION (RMA) PROCEDURE

To initiate any return, exchange, or warranty claim, the customer must first request a Return Merchandise Authorization (RMA) number by emailing sales@dekercoet.com with: (i) the order number; (ii) a description of the item(s) to be returned; (iii) the reason for return; and (iv) photographs of the item in its current condition. DE KERCOET will generally issue an RMA number within five (5) business days of receiving a complete request. No return will be accepted without a valid RMA number clearly marked on the outer packaging. Items returned without an RMA number will be refused at the customer's expense. Issuance of an RMA number does not constitute acceptance of the return; it authorizes the item to be sent back for inspection. Upon receipt and inspection, DE KERCOET will confirm whether the return qualifies and will strive to notify the customer of the applicable remedy within ten (10) business days.

For purposes of chargeback and payment dispute resolution, customers agree that the RMA process described herein constitutes the agreed mechanism for resolving product disputes, and agree to follow this process before initiating any chargeback with their card issuer. Nothing in this paragraph limits a consumer's statutory right to dispute a charge under applicable law.

ANTI-FRAUD AND RETURN ABUSE POLICY

DE KERCOET reserves the right to refuse returns, refunds, or exchanges from customers who exhibit a pattern of return abuse, including: (i) repeatedly returning items after use  ('wardrobing'); (ii) returning items not in original unused condition; (iii) submitting fraudulent damage claims; (iv) initiating chargebacks after returns have been authorized or processed; or (v) providing false information in connection with a return or claim. DE KERCOET may refuse future service to customers with documented fraudulent or abusive return behavior, subject to applicable consumer protection laws. This policy does not limit any rights available to consumers under applicable federal or state law.

DE KERCOET warrants that its products will conform to their descriptions and be free from material defects in workmanship and materials under normal use for a period of one (1) year from the date of delivery.

If a product is found to be defective or non-conforming during the warranty period, the customer must notify DE KERCOET in writing with supporting documentation. Upon verification of the issue, DE KERCOET will offer: (a) repair of the defective product; (b) replacement with the same or a comparable item; or (c) a full refund of the purchase price. The customer shall have a reasonable opportunity to elect their preferred remedy. Where a repair fails to correct the defect after a reasonable number of attempts, or where the defect substantially impairs the value of the product, the customer may elect a full refund. Remedies will not apply if the defect results from misuse, unauthorized modifications, improper installation, or normal wear and tear. California consumers have additional non-waivable rights under the Song-Beverly Consumer Warranty Act and the federal Magnuson-Moss Warranty Act.

This warranty is in addition to any rights available under applicable state laws. Some states do not allow limitations on how long an implied warranty lasts or the exclusion of incidental or consequential damages, so these limitations may not apply to every customer.

Legal claims relating to non-conforming or defective goods must be brought within the warranty period outlined in these terms and conditions of sale.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, DE KERCOET’s total liability for any claim arising out of or relating to the purchase or use of its products is limited to the amount the customer paid for the product at issue.

DE KERCOET is not liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of profits, revenue, data, business opportunities, or contractual relationships, even if it has been advised of the possibility of such damages.

AFTER-SALES SERVICE

DE KERCOET offers basic product care guidance upon request to help customers maintain the quality and appearance of their furniture. Repairs are not available outside the scope of DE KERCOET’s warranty obligations. Custom-made and personalized items are subject to the Accepted at Delivery policy set out in the Right of Withdrawal section above, and are not eligible for return except in the case of a verified defect, non-conformity, or transit damage reported within the required timeframe.

Spare parts may be available for purchase depending on the product. Customers should contact DE KERCOET directly for availability and pricing of specific replacement components.

Any reproduction, extraction, scraping, or modification of DE KERCOET’s databases or content collections, whether manual or automated, without prior written authorization is strictly prohibited. DISPUTES

These Terms and any disputes arising out of or related to the purchase or use of DE KERCOET products shall be governed by and interpreted in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Notwithstanding the foregoing, consumers resident in California, New Jersey, or Illinois retain the benefit of any mandatory consumer protection rights afforded by the laws of their state of residence that cannot be contractually waived.

If a dispute arises, the customer agrees to first contact DE KERCOET by email at sales@dekercoet.com to attempt to resolve the issue informally. If the matter is not resolved within 30 days of initial contact, either party may submit the dispute to binding arbitration  administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules (available at www.adr.org). The arbitration shall take place in Wilmington, Delaware, unless the parties mutually agree otherwise or applicable law requires a different location. For claims of $10,000 or less, the consumer may elect to proceed via telephone, video conference, or written submission. The arbitrator may award any remedy a court could award, on an individual basis only. Arbitration fees will be allocated according to the AAA Consumer Arbitration Rules. This arbitration clause is governed by the Federal Arbitration Act and shall survive termination of these Terms.

Alternatively, either party may bring an individual claim in a small claims court with jurisdiction over the matter. IMPORTANT: BY AGREEING TO THESE TERMS, BOTH PARTIES EXPRESSLY WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION, AND WAIVE THE RIGHT TO A JURY TRIAL. ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY. These waivers shall not apply to the extent prohibited by applicable law. If a court or arbitrator finds the class action waiver unenforceable as to a particular claim, that claim shall be severed and may proceed in court; all other claims remain subject to arbitration.

For business customers, the exclusive venue for all disputes shall be the state or federal courts located in New Castle County, Delaware, and the parties consent to the personal jurisdiction of those courts.

CONSUMER MEDIATION

If a customer dispute cannot be resolved through direct communication with DE KERCOET, the customer may pursue resolution through binding arbitration or small claims court, as described in the Governing Law and Dispute Resolution section above.

DE KERCOET is committed to resolving customer concerns promptly and fairly. Customers are encouraged to contact sales@dekercoet.com with any questions or concerns before seeking third-party assistance.

FORCE MAJEURE

DE KERCOET shall not be liable for any failure or delay in performance to the extent caused by events beyond its reasonable control, including: acts of God; natural disasters; fire; flood; epidemic or pandemic; war; terrorism; civil unrest; government action or regulation; import or export restrictions; customs or port delays; international carrier disruptions; supplier failures; labor disputes; or power or internet outages (each, a 'Force Majeure Event'). DE KERCOET will notify the customer promptly and use commercially reasonable efforts to resume performance.

If a Force Majeure Event continues for more than sixty (60) days, either party may cancel the affected order upon written notice. In that event, DE KERCOET will issue a full refund of any amounts paid for the cancelled order. No additional compensation, indirect damages, or consequential losses will be payable in connection with a Force Majeure Event, to the fullest extent permitted by applicable law.

PERSONAL DATA

DE KERCOET collects and processes personal information in connection with orders, account management, and customer support. This information may include your name, contact details, shipping address, payment information, and purchase history. All personal data is handled in accordance with our Privacy Policy, which is available on our website and incorporated herein by reference.

By placing an order or using the site, you consent to the collection and use of your information as outlined in the Privacy Policy. DE KERCOET does not sell customer data to third parties.

Customers may request access to, correction of, or deletion of their personal information by contacting privacy@dekercoet.com. Requests will be processed in accordance with applicable privacy laws, including the California Consumer Privacy Act (as amended by the CPRA), and applicable New York, New Jersey, and Illinois privacy statutes. California consumers may designate an authorized agent to submit requests on their behalf. We will verify the identity of any requestor before processing. Personal information will not be retained longer than reasonably necessary for the purposes described in our Privacy Policy.

Any provision of these Terms that conflicts with mandatory California law shall be severed and replaced with the minimum terms required by California law. For California residents, nothing in these Terms limits non-waivable rights with respect to defective goods under the Song-Beverly Consumer Warranty Act. For non-defective returns, including buyer’s remorse or sizing/access issues, our disclosed returns policy applies as presented prior to purchase.

NEW YORK RESIDENTS: New York residents are entitled to the protections of General Business Law Article 22-A. NEW JERSEY RESIDENTS: New Jersey residents are entitled to the protections of the New Jersey Consumer Fraud Act (N.J.S.A. 56:8-1 et seq.), which prohibits unconscionable commercial practices, deception, and misrepresentation in connection with merchandise sales. Nothing in these Terms waives the non-waivable rights of New Jersey consumers.

ILLINOIS RESIDENTS: Illinois residents are entitled to the protections of the Illinois Consumer Fraud and Deceptive Business Practices Act (815 ILCS 505/1 et seq.). Nothing in these Terms waives the non-waivable rights of Illinois consumers under this Act or any other applicable Illinois statute.
